2. Acceptance of Terms

By accessing this website or instructing us on a legal matter, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not accept these terms, please refrain from using this website or engaging our services.

To engage our services, you must be at least 18 years of age and have the legal capacity to enter into binding agreements under Singapore law.

Where you represent a company or other legal entity, you confirm that you are authorised to accept these terms on behalf of that entity.

3. Our Services

Gambir Legal provides legal services relating to international trade and commerce, including cross-border contract drafting, trade compliance and sanctions advisory, and international dispute resolution support. The precise scope of services provided to any client is set out in a separate engagement letter or client care documentation.

Information published on this website is provided for general informational purposes only and does not constitute legal advice. It does not create a solicitor-client relationship. Each legal situation is different, and you should not act on the basis of website content alone without seeking specific professional advice.

Service availability is subject to our capacity and acceptance of instructions. We reserve the right to decline instructions at our discretion, including where a conflict of interest exists or where acceptance would not be appropriate.

4. User Responsibilities

When using this website or engaging our services, you agree to:

  • Provide accurate, complete, and current information when submitting enquiries or instructions.
  • Not use this website in any manner that is unlawful, harmful, or disruptive.
  • Not attempt to gain unauthorised access to any systems or data associated with this website.
  • Not reproduce, distribute, or republish any content from this website without our prior written consent.
  • Cooperate promptly with reasonable requests for information required to carry out your instructions.
  • Comply with all applicable laws in your jurisdiction when using our services.

We reserve the right to terminate access to our services or this website if these responsibilities are not met.

5. Intellectual Property

All content on this website — including text, design, structure, graphics, and layout — is the intellectual property of Gambir Legal or is used under licence. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable licence to access and view website content for personal or internal business purposes. This licence does not permit reproduction, modification, or commercial use without our express written consent.

Work product prepared by Gambir Legal for clients in the course of a specific engagement becomes the property of the client upon full payment of applicable fees, subject to our right to retain copies for professional and regulatory purposes.

6. Payment Terms

Fees for our services are set out in the applicable engagement letter and are denominated in Singapore Dollars (SGD). Indicative fee ranges published on this website are subject to the specific circumstances of each matter and are not binding quotations.

  • Payment methods: Bank transfer, PayNow, or such other methods as agreed in writing.
  • Invoice terms: Invoices are due within 14 days of issue unless otherwise stated in the engagement letter.
  • Late payment: We reserve the right to suspend services in the event of non-payment and may charge interest on overdue amounts at the rate prescribed by Singapore law.
  • Refunds: Fees for work already performed are not refundable. Where a matter is concluded earlier than anticipated, we will invoice only for work completed to that point.

7. Confidentiality

We owe professional duties of confidentiality to our clients in accordance with Singapore law and the rules of the Law Society of Singapore. Information disclosed in the course of a legal engagement will be kept confidential except where disclosure is required by law, court order, or regulatory obligation, or where you authorise disclosure.

General enquiries submitted through this website are treated with discretion but do not attract full legal professional privilege until a formal engagement is established.

8. Disclaimers

This website and its content are provided on an "as is" basis. Whilst we take care to ensure accuracy, we make no representations or warranties — express or implied — as to the completeness, accuracy, or fitness for a particular purpose of the information published here.

Website content does not constitute legal advice. Laws and regulations change frequently, and information may not reflect the most current position. Specific advice should always be sought for individual circumstances.

We do not warrant uninterrupted or error-free access to this website and accept no responsibility for temporary unavailability due to maintenance, technical issues, or factors outside our reasonable control.

9. Limitation of Liability

To the fullest extent permitted by Singapore law, Gambir Legal's aggregate liability to you in connection with these terms, use of this website, or delivery of services shall not exceed the fees paid by you to us in the preceding three (3) months.

We shall not be liable for any indirect, incidental, consequential, or punitive losses, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such losses.

Nothing in these terms limits or excludes liability that cannot be limited under applicable law, including liability for fraud, death, or personal injury caused by our negligence.

10. Termination

Either party may terminate an engagement by giving reasonable written notice, subject to any specific terms in the engagement letter. Upon termination, you remain liable for fees accrued up to the date of termination.

We reserve the right to cease providing services immediately where continuing to do so would breach our professional obligations, or where you have breached these terms in a material respect. Clauses relating to payment, intellectual property, confidentiality, and dispute resolution survive termination.

11. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Singapore.

In the event of a dispute, the parties agree to first attempt to resolve the matter informally by contacting us at [email protected]. If the dispute cannot be resolved informally within 30 days, it shall be referred to the courts of Singapore, which shall have exclusive jurisdiction, unless otherwise agreed in writing.

Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.

12. General Provisions

  • Entire agreement: These terms, together with any engagement letter, represent the entire agreement between the parties on the subject matter and supersede prior understandings.
  • Severability: If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Failure to enforce any provision on one occasion does not constitute a waiver of the right to enforce it on any future occasion.
  • Assignment: You may not assign your rights or obligations under these terms without our written consent. We may assign our obligations in connection with a business transfer, subject to your interests being maintained.
  • Force majeure: Neither party will be liable for failure to perform obligations where such failure results from circumstances beyond their reasonable control, including acts of God, regulatory changes, or network outages.

13. Changes to These Terms

We may update these Terms and Conditions from time to time. Changes will be published on this page with an updated effective date. Where changes are material, we will take reasonable steps to inform existing clients.

Continued use of the website or our services after changes have been posted constitutes acceptance of the revised terms.
