A Singapore electronics distributor entered into a supply arrangement with a South Korean manufacturer using a purchase order and email chain — no formal contract. When a batch was rejected for quality failures, there was no agreed procedure for inspection, rejection, or replacement, creating a costly standoff.

Solution

They also prepared a pre-action letter that framed the existing claim within the obligations implied by the parties' course of dealing.

Challenge
